Scope of the GTC
The content of the contract concluded between us is determined—in addition to the provisions of the relevant mandatory legislation—by these General Terms and Conditions (hereinafter: GTC). Accordingly, these GTC contain the rights and obligations belonging to You and us, the conditions for the conclusion of the contract, performance deadlines, shipping and payment terms, liability rules, and the conditions for exercising the right of withdrawal.
Technical information required for the use of the Website, which is not contained in these GTC, is provided by other information available on the Website.

Language of the contract, form of the contract
The language of the contracts covered by these GTC is Hungarian. Contracts covered by these GTC do not constitute written contracts and are not filed by the Seller.

E-invoice
Our company uses electronic invoices according to Section 175 of Act CXXVII of 2007. By accepting these GTC, you give your consent to the use of electronic invoices.

Prices
Prices are in HUF. The Seller is exempt from VAT for sales purposes, so the prices do not include VAT. The possibility that the Seller may modify prices for business policy reasons cannot be excluded. Price modifications do not apply to contracts already concluded. If the Seller has displayed the price incorrectly and an order has been received for the Goods, but the Parties have not yet concluded a contract, the Seller shall proceed according to the “Procedure for incorrect price” section of the GTC.
Prices are in HUF. The gross prices displayed in the shop have a 0% VAT content.

Procedure in case of an incorrect price
A price is considered obviously incorrectly displayed if it is:
- a price of 0 HUF,
- a price reduced by a discount but incorrectly displayed compared to the correct discount percentage shown next to the correct original price (e.g., in the case of a 1,000 HUF item, with a 20% discount indicated, the item is incorrectly offered for 500 HUF instead of the correct 800 HUF based on an incorrect calculation not corresponding to the percentage rate).
In the event of such an incorrect price being displayed, the Seller offers the possibility to purchase the Goods at the real price, with which information the Buyer can decide whether to order the Goods at the real price or not exercise this option, in which case no contract is created between the Parties.

Complaint handling and legal enforcement options
The consumer may submit implied warranty, product warranty, or guarantee claims related to the Goods, or any objection aimed at terminating an individual violation of rights or interests (consumer complaint according to the Fgytv.) regarding the conduct, activity, or omission of the Seller or a person acting in the interest or on behalf of the Seller directly related to the distribution or sale of the goods to consumers, through the following contact details and methods:
- In person, orally at the following address: https://reinasbikinis.com/kapcsolat/
- Customer service opening hours:
- No permanent opening hours.
- In writing through the following website: http://reinasbikinis.com
- In writing through the following email addresses: info@reinasbikinis.com, reinasbikinis@gmail.com
- In writing by mail: 1094 Budapest, Tűzoltó utca 82. I/13.
The Seller is obliged to handle the consumer’s implied warranty, product warranty, or guarantee claims not according to the consumer complaint handling rules of the Fgytv., but according to separate legislation.
The consumer may communicate their complaint according to the Fgytv.—which is an objection aimed at terminating an individual violation of rights or interests regarding the conduct, activity, or omission of the business or a person acting in the interest or on behalf of the business directly related to the distribution or sale of the goods to consumers, with the exception of implied warranty, product warranty, or guarantee claims—orally or in writing to the business.
The Seller shall immediately investigate the oral complaint and remedy it as necessary. If the consumer does not agree with the handling of the complaint, or if immediate investigation of the complaint is not possible, the Seller shall immediately take minutes of the complaint and its position regarding it, and shall provide a copy thereof to the consumer on the spot in the case of an oral complaint communicated in person, or in the case of an oral complaint communicated by telephone or other electronic communication service, shall send it to the consumer within 30 days at the latest—in accordance with the regulations for responding to written complaints—simultaneously with the substantive response. The minutes taken of the complaint must include the following:
- the consumer’s name, residential address, or electronic mail address,
- the place, time, and method of submitting the complaint,
- a detailed description of the consumer’s complaint, a list of records, documents, and other evidence presented by the consumer,
- the business’s statement regarding its position on the consumer’s complaint, if immediate investigation of the complaint is possible,
- the signature of the person taking the minutes and—with the exception of oral complaints communicated by telephone or other electronic communication service—the consumer’s signature,
- the place and time the report was taken,
- in the case of an oral complaint communicated by telephone or other electronic communication service, the unique identification number of the complaint, and
- a warning that if the consumer does not provide the data contained in points a. and c. during the taking of the minutes, or refuses to sign the minutes, the Seller will omit the application of the response regulations for written complaints during the handling of the oral complaint
If the consumer does not provide the data contained in points a) and c) above during the communication of the oral complaint, or refuses to sign the minutes, the business is not obliged to proceed according to the response regulations for written complaints during the handling of the oral complaint.
The Seller is obliged to respond to written complaints—unless a directly applicable legal act of the European Union provides otherwise—substantively in writing in a verifiable manner within thirty days of receipt and to take measures for its communication. The Seller is obliged to justify its position rejecting the complaint. In the event of rejection of the complaint, the Seller is obliged to inform the consumer in writing about which authority or arbitration board’s procedure they may initiate with their complaint—according to its nature. The information must also include the seat, telephone and internet contact details, and mailing address of the competent authority or the arbitration board according to the consumer’s place of residence, place of stay, or seat, and whether the Seller has made a general declaration of submission.
If the Seller provides an electronic interface or form for reporting a written complaint, it is obliged to immediately acknowledge the receipt of the written complaint at the electronic mail address provided by the consumer.
The Seller is obliged to keep the minutes taken of the oral complaint or the written complaint, as well as a copy of its substantive response to the complaint, for three years and to present it upon the request of the supervisory authority.
If any consumer dispute that may exist between the Seller and the consumer is not resolved during negotiations, the following legal enforcement options are open to the consumer:

Consumer protection procedure
Complaints can be made to consumer protection authorities. If the consumer notices a violation of their consumer rights, they are entitled to turn to the consumer protection authority competent according to their place of residence. After evaluating the complaint, the authority decides on conducting the consumer protection procedure. The first-instance consumer protection authority tasks are performed by the metropolitan and county government offices competent according to the consumer’s place of residence; their contact details can be found here:

Court proceedings
The customer is entitled to enforce their claim arising from a consumer dispute before a court in the framework of civil proceedings according to the provisions of Act V of 2013 on the Civil Code and Act CXXX of 2016 on the Code of Civil Procedure.

Arbitration board procedure
If your consumer complaint is rejected, you are entitled to turn to the competent Arbitration Board according to your place of residence, place of stay, or seat, or the one indicated by you in the application. A condition for initiating the arbitration board procedure is that the consumer attempts to resolve the dispute directly with the business concerned.
The arbitration board—unless the consumer requests a personal hearing—holds the hearing online via an electronic device that simultaneously provides audio and video transmission (hereinafter: online hearing).
The business is subject to an obligation of cooperation in the arbitration board procedure; in this framework, we are obliged to send our response to the arbitration board upon its request within the deadline. With the exception of the application of Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on online dispute resolution for consumer disputes and amending Regulation (EC) No 2006/2004 and Directive 2009/22/EC, the business is obliged to ensure the participation of a person authorized to reach a settlement at the hearing. The business’s representative authorized to reach a settlement is obliged to participate online in the online hearing. If the consumer requests a personal hearing, the business’s representative authorized to reach a settlement is obliged to participate at least online in the hearing.
The Seller has not made a general declaration of submission to the arbitration board.

By clicking on the product categories on the website, you can select the desired product line and, within it, the individual Goods. By clicking on each item, you will find its photo, description, and price. In the event of a purchase, you must pay the price shown on the website.
Adding to cart
After selecting the Goods, you can place any number of items in the cart by clicking the “Add to cart” button without creating a purchase or payment obligation, as adding to the cart does not constitute an offer.
We recommend adding the Goods to the cart even if you are not sure you want to purchase them, as this allows you to see at a glance which items you have selected at that moment and to view and compare them on one screen. The contents of the Cart can be freely modified until the order is finalized—until the “Proceed to checkout” button is pressed—items can be removed from the cart as desired, new items can be added, and the desired quantity can be changed.
If you place the selected Goods in the Cart, a separate window will pop up with the text “[Product name] added to cart.” If you do not wish to select more Goods, click the “Cart” button! If you would like to see the selected Goods again or add new Goods to the cart, click the “Products” button!
Viewing the Cart
While using the website, you can check the contents of the cart at any time by clicking the “Cart” icon at the top of the page. Here you have the opportunity to remove selected Goods from the cart or change the quantity of the items. After pressing the “Update cart” button, the system displays the information corresponding to the data you have changed, including the price of the Goods placed in the cart.
If you do not wish to select and add further Goods to the cart, you can continue the purchase by pressing the “Proceed to checkout” button.
Providing customer data
After pressing the “Proceed to checkout” button, the contents of the cart and the total purchase price to be paid by you in the event of purchasing the selected Goods will appear. In the “Shipping” box, you must indicate whether you wish to pick up the ordered Goods in person (personal pickup) or request delivery. In the case of delivery, the system indicates the shipping fee, which you are obliged to pay in the event of an order.
In the “Billing details,” you can provide your full name, address, phone number, and email address. Without selecting the “Ship to a different address?” option, the system automatically stores the information provided during “Billing details.” If you request delivery to a different address, please check the checkbox and provide the shipping details in the “Ship to a different address” text box. In the “Notes” text box, you can optionally provide further information regarding the order or delivery.
Reviewing the order
After filling in the text boxes above, you can continue the ordering process by clicking the “Place order” button, or you can delete/correct the billing and shipping data entered so far, or return to the contents of the Cart.

Finalizing the order (making an offer)
If you are satisfied that the contents of the cart correspond to the Goods you wish to order and that your details are correct, you can close your order by clicking the “Place order” button. The information provided on the website does not constitute an offer by the Seller to conclude a contract. In the case of orders covered by these GTC, you qualify as the offeror.
By pressing the “Place order” button, you expressly acknowledge that your offer is considered made, and your statement—in the event of confirmation by the Seller according to these GTC—entails a payment obligation. The Seller is obliged to immediately acknowledge the receipt of the order to the Buyer electronically. If this confirmation does not reach the Buyer within a reasonable period depending on the nature of the service, but no later than 48 hours from the sending of the Buyer’s order, the Buyer is released from the binding offer or contractual obligation.

Order processing, conclusion of the contract
You have the opportunity to place an order at any time. The Seller will confirm your offer via email no later than 48 hours after your offer was sent. The contract is concluded when the confirmation email sent by the Seller becomes accessible to you in your mailing system.

Procedure for unclaimed packages
If the Buyer does not take delivery of the ordered Goods handed over for shipping and does not indicate their intention to withdraw within 14 days without justification as provided by law to the Seller, they breach their contract with the Seller, based on which their obligation is to take delivery of the Goods and thereby accept the Seller’s performance. In this case, the Seller will attempt to redeliver the Goods if this can be coordinated with the Buyer, but may condition the redelivery on the payment of a shipping fee. If the redelivery is unsuccessful or cannot be coordinated with the Buyer because the Buyer refuses to cooperate, the Seller is entitled to terminate the contract with the Buyer with immediate effect due to breach of contract and to enforce the cost of the unsuccessful delivery and return as a penalty against the Buyer. The Parties accept the use of the email used by the Buyer at the time of ordering as a form of communication for the termination of the contract and record that the time of communication of the termination is the time when the termination letter becomes accessible in the Buyer’s email account.

Delivery Deadline
For Buyers who qualify as consumers, unless the Parties agree otherwise, the Seller must make the Goods available to the Buyer without delay after the conclusion of the contract, but no later than within thirty days.
Based on the above, the general delivery deadline for orders is a maximum of 14 days from the order confirmation. The Seller provides information on any different delivery deadlines (but not longer than 30 days) for each shipping method.
In the event of a delay by the Seller, the Buyer is entitled to proceed against the Seller in accordance with Act V of 2013 on the Civil Code.

Reservation of Rights, Retention of Title
If you’ve previously ordered Goods and failed to take delivery (excluding cases where you exercised your right of withdrawal), or if the Goods were returned to the seller marked as ‘unclaimed,’ the Seller will condition the fulfillment of the order on the advance payment of the purchase price and shipping costs.
The Seller may withhold the delivery of the Goods until they’re sure that the payment for the Goods has been successfully made using the electronic payment solution (including cases where the Buyer transfers the purchase price in their own member state’s currency and, due to conversion, bank commissions, or costs, the Seller doesn’t receive the full amount of the purchase price and shipping fee). If the price of the Goods hasn’t been paid in full, the Seller may request the Buyer to pay the difference.
International Sales – Prohibition of Geo-blocking
The Seller doesn’t discriminate between customers within Hungary and those elsewhere within the European Union when using the Website; that is, they don’t restrict customers’ access to the website based on their nationality, place of residence, or place of establishment. Unless otherwise provided in these T, the Seller ensures the delivery/pickup of ordered Goods within the territory of Hungary.
The primary language for communication and purchases is Hungarian; the Seller isn’t obliged to communicate with the customer in the language of the customer’s member state.
The Seller isn’t obliged to comply with non-contractual requirements defined in the national law of the customer’s member state regarding the Goods in question, such as labeling or sector-specific requirements, or to inform the customer about these requirements.
Unless otherwise provided by the Seller, Hungarian VAT applies to all Goods.
To deliver the Goods, the Seller provides the same delivery options to non-Hungarian customers as those available to Hungarian customers.
If a customer can request the delivery of Goods to the territory of Hungary or any other European Union member state according to the T, a non-Hungarian customer may also request this using any shipping method specified in the T
If a customer can choose to pick up the Goods in person from the Seller according to the T, a non-Hungarian customer may also exercise this right.
Otherwise, the customer may request to arrange the international shipping of the Goods at their own expense. Hungarian customers don’t have this right.
The Seller fulfills the order after the shipping fee is paid; if the customer doesn’t pay the shipping fee to the Seller or doesn’t arrange their own shipping by the pre-agreed time, the Seller will terminate the contract and refund the pre-paid purchase price to the customer.
Consumer Information

Information on the Consumer’s Right of Withdrawal
According to the Civil Code, 8:1. Section 1, Paragraph 3, only natural persons acting outside the scope of their profession, independent occupation, or business activity qualify as consumers, so legal entities cannot exercise the right of withdrawal without justification!
According to Section 20 of Government Decree 45/2014 (II. 26.), consumers are entitled to the right of withdrawal without justification. The consumer may exercise their right of withdrawal a) in the case of a contract for the sale of Goods
aa) from the date of receipt of the Goods,
ab) when purchasing multiple Goods, if the delivery of individual Goods occurs at different times, from the date of receipt of the last delivered Good,
ac) in the case of goods consisting of multiple lots or pieces, from the date of receipt of the last lot or piece,
ad) if the goods are to be delivered regularly within a specified period, from the date of receipt of the first delivery,
within a period starting from the day of receipt by the consumer or a third party other than the carrier designated by the consumer, which period is 14 calendar days.
The provisions of this point don’t affect the consumer’s right to exercise their right of withdrawal as defined in this point during the period between the date of the conclusion of the contract and the date of receipt of the Goods.
If the consumer made an offer to conclude the contract, the consumer has the right to withdraw the offer before the contract is concluded, which terminates the binding nature of the offer for the conclusion of the contract.
If the Seller hasn’t informed the consumer about the deadline and other conditions for exercising the right of withdrawal (especially those contained in Section 22 of the Government Decree), as well as the model declaration according to Annex 2, the withdrawal period described above is extended by 12 months. If the Seller provided the consumer with information regarding the exercise of the right of withdrawal within 12 months after the expiry of the withdrawal period, the deadline for withdrawal or termination expires on the 14th day after the communication of this information.
Government Decree 45/2014 (II.26.) on the detailed rules of contracts between consumers and businesses is available here.
Withdrawal Declaration, Exercise of the Consumer’s Right of Withdrawal or Termination
The consumer may exercise their right provided in Section 20 of Government Decree 45/2014 (II. 26.) by means of a clear declaration to this effect, using the model declaration that can also be downloaded from the website, or by using the withdrawal function.
The Withdrawal Function
The withdrawal function is an online withdrawal declaration in which the consumer can communicate to the business: their decision to withdraw from the contract, their name, the data identifying the contract affected by the withdrawal, and the data of the electronic device through which the consumer will receive the confirmation of the withdrawal.
The withdrawal function is available on the Website via the ‘Withdrawal from the contract’ link. The consumer can send the online withdrawal declaration to the Seller by using the confirmation function labeled ‘Confirm Withdrawal’.
The Seller will send the consumer an acknowledgment of receipt of the withdrawal without undue delay on a durable medium, which includes the content of the withdrawal, as well as the date and time it was sent.
Validity of the Consumer’s Withdrawal Declaration
The right of withdrawal shall be considered exercised within the deadline if the consumer sends their declaration within the deadline.
In the case of withdrawal or termination in writing, it’s sufficient to send the withdrawal or termination declaration within the deadline.
The burden of proof lies with the consumer to show that they exercised the right of withdrawal in accordance with this provision.
The Seller is obliged to confirm the consumer’s withdrawal declaration on an electronic medium after its arrival.
Seller’s Obligations in Case of Consumer Withdrawal
The Seller’s Refund Obligation
If the consumer withdraws from the contract in accordance with Section 22 of Government Decree 45/2014 (II. 26.), the Seller will refund the full amount paid by the consumer as consideration, including costs incurred in connection with fulfillment, such as the shipping fee, no later than fourteen days from becoming aware of the withdrawal. Please note that this provision doesn’t apply to additional costs caused by choosing a delivery method other than the least expensive standard delivery method.
Method of the Seller’s Refund Obligation
In case of withdrawal or termination according to Section 22 of Government Decree 45/2014 (II. 26.), the Seller will refund the amount due to the consumer using the same payment method used by the consumer. Based on the consumer’s express consent, the Seller may use another payment method for the refund, but the consumer shouldn’t be charged any additional fees as a result. The Seller isn’t responsible for any delay resulting from an incorrect and/or inaccurate bank account number or postal address provided by the Consumer.
Additional Costs
If the consumer explicitly chooses a delivery method other than the least expensive standard delivery method, the Seller isn’t obliged to refund the resulting additional costs. In such cases, our refund obligation exists up to the amount of the indicated general shipping rates.
Right of Retention
The Seller may withhold the amount due to the consumer until the consumer has returned the Goods or has proven beyond doubt that they’ve sent them back; the earlier of the two dates shall be taken into account. We’re unable to accept shipments sent with cash on delivery or postage due.
Consumer’s Obligations in Case of Withdrawal or Termination
Return of the Goods
If the consumer withdraws from the contract in accordance with Section 22 of Government Decree 45/2014 (II. 26.), they must return the Goods without delay, but no later than fourteen days from the communication of the withdrawal, or hand them over to the Seller or a person authorized by the Seller to receive the Goods. The return is considered completed within the deadline if the consumer sends the Goods before the deadline expires.
Bearing the Direct Costs of Returning the Goods
The consumer bears the direct cost of returning the Goods. The Goods must be returned to the Seller’s address. If the Seller also sells the Goods in a retail store and the consumer exercises their right of withdrawal in person at the business’s retail store, they’re entitled to return the goods to the business at the same time. If the consumer terminates a contract for the provision of services concluded off-premises or between distant parties after the start of fulfillment, they must pay the business a fee proportional to the service performed up to the time the termination was communicated to the business. The proportional amount to be paid by the consumer must be determined based on the total amount of the consideration established in the contract plus tax. If the consumer proves that the total amount determined in this way is excessively high, the proportional amount must be calculated based on the market value of the services performed up to the time the contract was terminated. Please note that we’re unable to accept Goods returned with cash on delivery or postage due.
Consumer’s Responsibility for Diminished Value
The consumer is responsible for any diminished value resulting from use beyond what’s necessary to determine the nature, characteristics, and functioning of the Goods.
The right of withdrawal cannot be exercised in the following cases
The Seller explicitly draws your attention to the fact that you cannot exercise your right of withdrawal in the cases specified in Section 29 (1) of Government Decree 45/2014 (II.26.):
- after the full performance of the service; however, if the contract creates a payment obligation for the consumer, this exception can only be invoked if performance began with the consumer’s express prior consent and their acknowledgment that they’ll lose their right of withdrawal once the business has fully performed the contract;
- regarding Goods or services whose price or fee depends on fluctuations in the financial market that cannot be influenced by the business and are possible even during the period specified for exercising the right of withdrawal;
- in the case of non-prefabricated Goods that were produced based on the consumer’s instructions or at their express request, or Goods that were clearly personalized for the consumer;
- regarding perishable Goods or Goods that retain their quality for a short time;
- regarding Goods in sealed packaging which, for health protection or hygiene reasons, cannot be returned after being opened after delivery (We warn you that for Goods in sealed packaging which, for health protection or hygiene reasons, cannot be returned after being opened after delivery, use beyond what’s necessary to determine the nature, characteristics, and functioning of the Goods will result in the loss of the right of withdrawal.);
- regarding Goods which, by their nature, are inseparably mixed with other Goods after delivery;
- regarding alcoholic beverages whose actual value depends on market fluctuations in a way that cannot be influenced by the business, and whose price was agreed upon by the parties at the time the sales contract was concluded, but the fulfillment of the contract only takes place after the thirtieth day from the conclusion;
- in the case of a service contract where the business visits the consumer at the consumer’s express request for the purpose of performing urgent repair or maintenance work;
- regarding the sale of copies of sound or video recordings in sealed packaging, as well as computer software, if the consumer opened the packaging after delivery;
- regarding newspapers, journals, and periodicals, with the exception of subscription contracts;
- in the case of contracts concluded at a public auction;
- in the case of contracts for the provision of accommodation other than for residential purposes, transport, car rental, catering, or services related to leisure activities, if a specific performance date or deadline was stipulated in the contract;
- regarding digital content provided on a non-tangible medium, if the Seller began performance with the consumer’s express prior consent, and the consumer simultaneously declared their acknowledgment that they’d lose their right of withdrawal after the start of performance, and the business sent a confirmation to the consumer.
Information on product warranty, implied warranty, and guarantee regarding the conformity of goods for consumer contracts
This point of the consumer information was prepared based on the authorization of Section 11 (5) of Government Decree 45/2014 (II.26.), taking into account Annex 3 of Government Decree 45/2014 (II.26.)
The Consumer Information applies only to Buyers who qualify as consumers; the rules for buyers who don’t qualify as consumers are included in a separate chapter.
Requirements for Conformity of Performance in the Case of a Consumer Contract
General Requirements for Conformity of Performance for Goods Sold Under a Consumer Contract
The Goods and the performance must comply with the requirements set out in Government Decree 373/2021 (VI.30.) at the time of performance.
For the performance to be considered in conformity, the Goods that are the subject of the contract must
- comply with the description, quantity, quality, and type specified in the contract, and must have the functionality, compatibility, interoperability, and other characteristics as per the contract
- be suitable for any purpose specified by the consumer, which the consumer brought to the Seller’s attention no later than at the time the contract was concluded, and which the Seller accepted
- have all the accessories and instructions specified in the contract—including instructions for commissioning, installation instructions, and customer support—and
- provide the updates specified in the contract.
Furthermore, for the performance to be considered in conformity, the Goods that are the subject of the contract must
- be suitable for the purposes for which legislation, technical standards, or, in the absence of technical standards, the applicable code of conduct prescribes for Goods of the same type
- have the quantity, quality, performance, and other characteristics—especially regarding durability, repairability, functionality, compatibility, accessibility, continuity, and safety—that are usual for Goods of the same type and which the Consumer can reasonably expect, taking into account any public statement made by the Seller, their representative, or another person in the sales chain regarding the specific properties of the Goods—especially in advertising or on labels
- have the accessories and instructions—including packaging and commissioning instructions—that the consumer can reasonably expect, and
- comply with the characteristics and description of the Goods presented as a sample or model or made available as a trial version by the business prior to the conclusion of the contract.
The Goods don’t have to comply with the above public statement if the Seller proves that
- they didn’t know the public statement and shouldn’t have known it
- the public statement had already been appropriately corrected by the time the contract was concluded, or
- the public statement couldn’t have influenced the entitled party’s decision to conclude the contract.
Specific Requirements for Conformity of Performance for Goods Containing Digital Elements
In the case of goods containing digital elements, the Seller must ensure that the consumer receives notification of updates to the digital content or digital service related to the goods—including security updates—that are necessary to maintain the conformity of the goods, and must ensure that the consumer actually receives them.
The Seller must make the update available if the sales contract
- provides for a one-time supply of the digital content or digital service, then for a period that the consumer can reasonably expect based on the type and purpose of the goods and digital elements, as well as the individual circumstances and the nature of the contract; or
- provides for continuous supply of the digital content over a specified period, then in the case of continuous supply for a period not exceeding two years, it must be ensured for a two-year period from the delivery of the goods.
If the consumer doesn’t install the provided updates within a reasonable time, the Seller isn’t liable for any defect in the goods if it stems solely from the lack of application of the relevant update, provided that
- the Seller informed the consumer about the availability of the update and the consequences of the consumer’s failure to install it; and
- the consumer’s failure to install the update or the consumer’s incorrect installation of the update isn’t due to deficiencies in the installation instructions provided by the Seller.
Lack of conformity cannot be established if, at the time the contract was concluded, the consumer received specific information that a particular characteristic of the goods differs from those described here, and the consumer specifically and expressly accepted this difference when concluding the sales contract.
Requirements for Conformity of Performance in the Case of Selling Digital Content Sold Under a Consumer Contract
The Seller supplies or provides the digital content to the consumer. Unless the parties agree otherwise, the Seller supplies the digital content to the consumer without undue delay after the conclusion of the contract, in the latest version available at the time of the conclusion of the contract.
The service is considered performed if the digital content or any solution—necessary for access to it or suitable for downloading it—has reached the consumer or a physical or virtual device selected by the consumer for this purpose.
The Seller must ensure that the consumer receives notification of updates to the digital content—including security updates—that are necessary to maintain the conformity of the digital content or digital service, and that they receive them.
If, based on the contract, the supply of digital content occurs continuously over a specified period, the conformity of performance regarding the digital content must be ensured throughout the entire duration of the contract.
If the consumer doesn’t install the updates provided by the Seller within a reasonable time, the Seller isn’t liable for any defect in the service if it stems solely from the lack of application of the relevant update, provided that
- the Seller informed the consumer about the availability of the update and the consequences of the consumer’s failure to install it; and
- the consumer’s failure to install the update or the consumer’s incorrect installation of the update isn’t due to deficiencies in the installation instructions provided by the Seller.
Lack of conformity cannot be established if, at the time the contract was concluded, the consumer received specific information that a particular characteristic of the digital content differs from the requirements specified here, and the consumer specifically and expressly accepted this difference when concluding the contract.
The Seller performs defectively if the defect in the digital content service stems from unprofessional integration into the consumer’s digital environment, provided that
- the integration of the digital content was carried out by the Seller, or the integration was carried out under the Seller’s responsibility; or
- the digital content must be integrated by the consumer, and the unprofessional integration was caused by deficiencies in the integration instructions provided by the Seller.
If the contract provides for the continuous supply of digital content or a digital service over a specified period, the Seller is liable for a defect related to the digital content if the defect occurs or becomes recognizable during the period specified in the contract.
If the contract provides for a one-time service or a series of individual service acts, it must be presumed until proven otherwise that a defect recognized by the consumer within one year from the time of performance already existed at the time of performance. At the same time, the Seller doesn’t perform defectively if they prove that the consumer’s digital environment isn’t compatible with the technical requirements of the digital content or digital service, and they informed the consumer about this in a clear and understandable way before concluding the contract.
The consumer is obliged to cooperate with the Seller so that the Seller—using tools available from a technical point of view and requiring the least intervention for the consumer—can be convinced that the cause of the defect is the consumer’s digital environment. If the consumer doesn’t fulfill this obligation to cooperate after the Seller has informed them clearly and understandably about this obligation before concluding the contract, the burden of proof lies with the consumer to show that
- a defect recognized within one year after performance already existed at the time of performance, or
- the service affected by a defect recognized during the period specified in the contract was not in conformity during the period of performance of the service according to the contract.
Defective Performance of a Contract for the Sale of Goods
The Seller performs defectively if the defect in the goods stems from unprofessional commissioning, provided that
a) the commissioning is part of the sales contract and was carried out by the Seller, or was carried out under the Seller’s responsibility; or
b) the commissioning had to be carried out by the consumer, and the unprofessional commissioning is a consequence of deficiencies in the commissioning instructions provided by the Seller—or, in the case of goods containing digital elements, by the provider of the digital content or digital service.
If, according to the sales contract, the goods are commissioned by the Seller, or the commissioning takes place under the Seller’s responsibility, the performance must be considered completed by the Seller when the commissioning is finished.
In the case of goods containing digital elements, if the sales contract provides for the continuous supply of digital content or a digital service over a specified period, the Seller is liable for a defect in the goods related to the digital content if the defect occurs or becomes recognizable within two years from the delivery of the goods in the case of continuous supply for a period not exceeding two years; or throughout the entire duration of the continuous supply in the case of continuous supply for a period exceeding two years.
Implied Warranty
In what cases can you exercise your right to an implied warranty?
In the event of defective performance by the Seller, you may assert an implied warranty claim against the Seller according to the rules of the Civil Code and, in the case of a consumer contract, Government Decree 373/2021 (VI.30.).
What rights are you entitled to based on your implied warranty claim?
You may, at your option, make the following statutory warranty claims:
You may request repair or replacement, unless the option you choose is impossible to fulfill or would result in disproportionate additional costs for the Seller compared to fulfilling another option. If you did not or could not request repair or replacement, you may request a proportional reduction of the consideration, or—as a last resort—you may withdraw from the contract.
Before making the Goods conform to the contract, the Seller informs the Consumer that, based on their implied warranty claim, they may choose to request repair or replacement, and that in the case of repair, the limitation period for the implied warranty claim is extended once by twelve months.
Depending on the characteristics of the given product category, the Seller may lend a replacement product to the Consumer free of charge for the duration of the repair; the replacement product may also be a refurbished product. The provision of a replacement product isn’t automatic; it may take place based on a separate undertaking by the Seller.
At the Consumer’s express request, the Seller may also fulfill its obligation to replace the goods with refurbished goods.
You may switch from your chosen statutory warranty right to another, but you will bear the cost of the switch unless it was justified or caused by the Seller.
In the case of a consumer contract, it must be presumed until proven otherwise that a defect recognized within one year from the time of performance of the goods and goods containing digital elements already existed at the time of performance of the goods, unless this presumption is incompatible with the nature of the goods or the nature of the defect.
The Seller may refuse to make the goods conform to the contract if repair or replacement is impossible, or if it would result in disproportionate additional costs for the Seller, taking into account all circumstances, including the value the Goods would have in a flawless state, as well as the gravity of the breach of contract.
The consumer is also entitled—in proportion to the gravity of the breach of contract—to request a proportional reduction of the consideration or to terminate the sales contract if
- the Seller hasn’t carried out the repair or replacement, or has carried it out but hasn’t fulfilled the following conditions in part or in full
- the Seller must ensure the return of the replaced goods at its own expense
- if the repair or replacement requires the removal of goods that were commissioned in accordance with the nature and purpose of the goods—before the defect became recognizable—then the obligation to repair or replace includes the removal of the non-conforming goods and the commissioning of the goods delivered as a replacement or repaired, or bearing the costs of removal and commissioning.
- the Seller refused to make the goods conform to the contract
- a repeated performance defect occurred, despite the Seller’s attempt to make the goods conform to the contract
- the defect in performance is of such gravity that it justifies an immediate price reduction or the immediate termination of the sales contract, or
- the Seller didn’t undertake to make the goods conform to the contract, or it’s obvious from the circumstances that the business won’t make the goods conform to the contract within a reasonable time or without significant inconvenience to the consumer.
If the consumer wishes to terminate the sales contract citing defective performance, the burden of proof lies with the Seller to show that the defect is insignificant.
The Consumer is entitled to withhold the remaining part of the purchase price—in proportion to the gravity of the breach of contract—in part or in full until the Seller fulfills its obligations related to the conformity of performance and defective performance.
It’s a generally applicable rule that:
- the Seller must ensure the return of the replaced goods at its own expense
- if the repair or replacement requires the removal of goods that were commissioned in accordance with the nature and purpose of the goods—before the defect became recognizable—then the obligation to repair or replace includes the removal of the non-conforming goods and the commissioning of the goods delivered as a replacement or repaired, or bearing the costs of removal and commissioning.
The reasonable deadline for carrying out the repair or replacement of the Goods must be calculated from the time the Consumer communicated the defect to the business.
The consumer must make the Goods available to the business in order to complete the repair or replacement.
The reduction of the consideration is proportional if its amount is equal to the difference between the value of the goods that would be due to the Consumer in case of performance in conformity with the contract and the value of the goods actually received by the Consumer.
The Consumer’s implied warranty right to terminate the sales contract can be exercised by a legal declaration addressed to the Seller expressing the decision to terminate.
If the defective performance affects only a specific part of the goods supplied under the sales contract, and the conditions for exercising the right to terminate the contract exist in respect of them, the Consumer may terminate the sales contract only in respect of the defective goods, but may also terminate it in respect of any other goods acquired together with them if the Consumer cannot reasonably be expected to keep only the goods that comply with the contract.
If the Consumer terminates the sales contract in its entirety or in respect of part of the goods supplied under the sales contract, then
- the Consumer must return the affected goods to the Seller at the Seller’s expense and
- the Seller must immediately refund the purchase price paid for the affected goods to the Consumer as soon as they’ve received the goods or the proof supporting the return of the goods.
The Seller is obliged to take a record of the consumer’s warranty claim reported to them and must immediately make a copy of it available to the consumer in a verifiable manner.
If the Seller business cannot declare the fulfillability of the consumer’s warranty claim at the time of its reporting, they’re obliged to notify the consumer of their position—in case of rejection of the claim, also of the reason for the rejection and the possibility of turning to the conciliation body—within 8 days in a verifiable manner.
The Seller must strive to carry out the repair or replacement within a maximum of fifteen days. If the duration of the repair or replacement exceeds fifteen days, the Seller business is obliged to inform the consumer of the expected duration of the repair or replacement.
Within what deadline can you assert your implied warranty claim?
You are required to report the defect immediately after discovering it. A defect reported within two months of discovery shall be considered reported without delay. However, please note that you can no longer enforce your statutory warranty rights beyond the two-year limitation period from the performance of the contract.
If the Goods are made to conform to the contract by means of repair, the limitation period for the implied warranty claim is extended once by twelve months.
The part of the repair time during which the Buyer cannot use the Goods as intended isn’t included in the limitation period.
The limitation period for the implied warranty claim starts anew for the part of the Goods affected by replacement or repair. This rule must also be applied in the event that a new defect arises as a consequence of the repair.
Against whom can you assert your implied warranty claim?
You can enforce your statutory warranty claim against the Seller.
What other conditions are there for asserting your implied warranty rights?
Within one year from the date of performance, there are no conditions for asserting your implied warranty claim other than communicating the defect, provided you prove that the Goods were provided by the Seller. However, after one year from the date of performance, you’re already obliged to prove that the defect you recognized already existed at the time of performance.
Specific Rules for Implied Warranty Claims in the Case of Supplying Digital Content
The consumer is also entitled—in proportion to the gravity of the breach of contract—to request a proportional reduction of the consideration or to terminate the contract for the supply of digital content if
- repair or replacement is impossible, or it would result in disproportionate additional costs for the Seller;
- in the case of exercising the implied warranty right for repair or replacement, the Seller doesn’t make the performance conform to the contract within a reasonable time from the consumer’s communication of the defect, free of charge, without significant inconvenience to the consumer, and taking into account the nature and purpose of the digital content or digital service;
- a repeated performance defect occurred, despite the business’s attempt to make the goods conform to the contract;
- the defect in performance is of such gravity that it justifies an immediate price reduction or the immediate termination of the contract; or
- the Seller didn’t undertake to make the service conform to the contract, or it’s obvious from the circumstances that the business won’t make the service conform to the contract within a reasonable time or without significant inconvenience to the consumer.
In the case of exercising the implied warranty right for repair or replacement, the Seller—without significant inconvenience to the consumer, and taking into account the nature and purpose of the digital content or digital service—is obliged to make the performance conform to the contract within a reasonable time from the consumer’s communication of the defect, free of charge.
In the case of exercising the implied warranty right for repair or replacement, depending on the technical characteristics of the digital content, the Seller may choose the method of making the digital content conform to the contract.
The reduction of the consideration is proportional if its amount is equal to the difference between the value of the service that would be due to the consumer in case of performance in conformity with the contract and the value of the service actually provided to the consumer.
If the contract provides for continuous service provided over a specified period, the proportional reduction of the consideration must apply to the period during which the service was not in conformity.
If the consumer wishes to terminate the contract citing defective performance, the burden of proof lies with the Seller to show that the defect is insignificant.
If the Seller supplies digital content or undertakes to do so, and the consumer only provides personal data or undertakes to provide such data to the Seller, the consumer is entitled to terminate the contract even in the presence of an insignificant defect, but cannot request a proportional reduction of the consideration.
The consumer’s implied warranty right to terminate the contract can be exercised by a legal declaration addressed to the Seller expressing the decision to terminate.
If the Seller doesn’t carry out the performance, the consumer is obliged to call upon the Seller to perform. If, despite the consumer’s call, the Seller fails to supply or provide the digital content without delay or within an additional period accepted by the parties, the consumer may terminate the contract.
The consumer may terminate the contract without calling upon the Seller to perform if
- the Seller didn’t undertake to supply the digital content, or it’s obvious from the circumstances that they won’t supply the digital content; or
- based on the agreement of the parties or the circumstances of the conclusion of the contract, it’s obvious that performance at a specific time is essential for the consumer, and the Seller fails to do so.
In case of termination of the contract, the Seller is obliged to refund the full amount paid by the consumer as consideration.
However, if the performance was in conformity for a certain period before the termination of the contract, the consideration due for this period doesn’t have to be refunded. In the latter case, the part of the consideration that relates to the period of non-conforming performance must be refunded, as well as the consideration pre-paid by the consumer that would have been due for the remaining duration of the contract if the contract hadn’t been terminated.
If the consumer is entitled to a proportional reduction of the consideration or to terminate the contract, the Seller must fulfill its refund obligation immediately, but no later than fourteen days from becoming aware of the exercise of this right.
The business will refund the amount due to the consumer using the same payment method used by the consumer. Based on the consumer’s express consent, the Seller may use another payment method for the refund, but the consumer shouldn’t be charged any additional fees as a result.
The costs related to the refund are borne by the Seller.
In case of termination of the contract, the Seller may prevent the consumer from further using the digital content; in particular, they may make the digital content or digital service inaccessible to the consumer or disable the consumer’s user account.
In case of termination of the contract, the consumer must refrain from using the digital content and from making it available to third parties.
If the supply of digital content took place on a physical medium, the consumer is obliged to return the physical medium without delay at the Seller’s request communicated within fourteen days from the Seller becoming aware of the termination, at the Seller’s expense.
The consumer is obliged to pay a fee proportional to the service performed in conformity for the use of the digital content for the period preceding the termination of the contract.
